Terms and Conditions

What Myfleet is and is not, who pays for what, what happens to the data, and what happens when you cancel. Written to be read, not skipped.

This is a translation of the Portuguese original. In case of any discrepancy, the Portuguese version prevails — myfleet.pt/termos/.

1. Who we are

Myfleet is operated by Libelinha Lilaz, Lda., trading under the Bigorna.digital brand, with registered office at Praça Capitão José Santos Leite, Loja 4A, 2615-164 Alverca do Ribatejo, Portugal, registered with the Commercial Registry Office of Coimbra under the single registration and legal person number 519531400, with a share capital of €1,000. Contact: [email protected].

In these terms, “Myfleet”, “we” or “Libelinha Lilaz” refer to this company. “Operator” is the company that subscribes to the service. “Driver” is the person who drives for the operator and to whom the operator gives access to the platform. “User” is any person who accesses the platform.

2. What Myfleet is, and what it is not

Myfleet is a management platform that organises the operational and financial data of the relationship between a TVDE operator and its drivers: documents, vehicles, trips, weekly settlements, expenses, receipts and contracts.

Myfleet does not issue invoices or tax documents. It calculates amounts, with or without VAT according to the arrangement configured for each driver, so that invoicing, which remains each party's own responsibility, is done on correct figures. Configuring the VAT arrangement and checking the amounts before invoicing are the responsibility of the operator and the driver. Myfleet does not provide accounting, tax advisory or legal advisory services.

Myfleet is not a passenger transport platform and does not broker trips. Trip data comes from the platforms where the operator and the drivers work (for example, Uber and Bolt), by importing files or through a connection authorised by the operator. Myfleet is not liable for the accuracy of that data at source.

3. Account and access

The company account is created by the operator, who is responsible for how it is used and for the accuracy of the data it enters. The operator may give access to members of its team, with different permissions, and is responsible for the acts carried out with those accesses. Drivers access only their own information.

Sign-in is with a code sent by email, or with a Google account. Each user is responsible for keeping access to their mailbox secure and must notify us immediately if they suspect unauthorised access.

By creating the account, the operator declares that it has the authority to bind the company to these terms.

4. Use by drivers

Drivers use the apps free of charge, at the operator's invitation. On first access, each driver accepts the rules of this section and of sections 2, 10, 11, 12, 15 and 16, insofar as they concern them.

The driver undertakes to upload true and up-to-date documents and to use the app only for their relationship with the operator. The contractual relationship between the driver and the operator is between them: Myfleet is not a party to it, is not the driver's employer or contracting party, and does not decide payments.

When the operator closes the account or removes a driver's access, the driver can no longer sign in. The driver may ask the operator, or us, to export their own data, under the Privacy Policy.

5. Trial period, plans and prices

Each new company has a free 14-day trial period, with full access and no payment method required. If that period ends without a subscription, the account becomes read-only: the data is kept, but new activity can no longer be recorded.

The plan is determined by the number of active drivers connected to the company. If that number exceeds the plan's limit, the app indicates the appropriate plan, which applies from the next renewal.

Prices are those of the price table in force at the time of registration, shown in the app itself before payment, plus VAT at the statutory rate. The table applied to a company is fixed at registration and only changes with at least 30 days' prior notice, taking effect at the renewal following that period.

The subscription is paid by card through Stripe, in the billing cycles shown in the app, and renews automatically at the end of each period for the same cycle, unless cancelled.

6. Payment, non-payment and cancellation

The operator may cancel the subscription at any time, in the app. Cancellation takes effect at the end of the period already paid, until which access is maintained, and there is no refund for the current period. After that, the account becomes read-only.

If a charge fails, we notify the operator by email and in the app. If payment is not settled within 7 days, the account becomes read-only, without loss of data, until it is settled.

Subscription invoices are issued by Libelinha Lilaz with the billing details provided by the operator, who is responsible for their accuracy.

7. Invitations and points

A company may invite another using its invitation code. The invited company joins with the campaign price table, or with the table in force if that is cheaper.

When the invited company makes its first payment, the inviting company receives points, once only per invited company:

Cycle of the first paymentPoints
Monthly1
Quarterly2
Six-monthly3
Yearly4

Four points give one month of subscription, which the account holder can use in the app; they are spent four at a time. Each point is valid for 12 months from the date it was awarded.

Points have no cash value and cannot be exchanged or transferred, and they lapse when the account is closed. Invitations between companies in the same group or with the same partners or managers do not count, nor do invitations made by abusive means; in those cases, we may cancel the points.

Libelinha Lilaz may change or end the programme with 30 days' prior notice, honouring the points already awarded until the end of their validity.

8. Commercial partners and partnership codes

Some companies register through the address of a commercial partner (for example, an association or a supplier) and have the prices agreed with that partner. The partner's logo appears in those companies' apps. The partner has no access to the company's data unless the company authorises it.

When the partner distributes partnership codes to its members, each code is personal, is valid for a single subscription cycle and ceases to be valid once used. To keep the partner's prices on renewal, a new code is needed; without one, the renewal moves to the campaign price table. Companies that join through a partner do not earn invitation points.

If the partnership ends, the companies that joined through it keep the partner's prices until the end of the current cycle and then move to the campaign price table. Each partner's commercial terms are set out in a separate agreement, which does not form part of these terms.

9. Contracts and templates

The platform provides contract templates (provision of driving services, loan of a vehicle for use, contract with an operator's vehicle, declaration of authorisation for the platform) and fills them in with the parties' details. The company may instead upload its own contracts.

The templates are generic drafts, provided as a starting point, and do not constitute legal advice, nor are they adapted to the specific situation of each operator or driver. It is for the parties to decide whether to use them, to check and adapt their content, with their own legal support if necessary, and to enter into the contract.

Myfleet is not a party to the contracts entered into between the operator and the drivers, nor to any other contracts generated or stored on the platform, and is not liable for their content, validity, performance or breach. The templates may be updated; an update does not change contracts already entered into.

10. Artificial intelligence

The platform uses artificial intelligence models to read uploaded documents and receipts (to fill in numbers, dates and expiry dates), to write the weekly summary and to answer the questions asked to the GPS assistant.

Automatic readings may contain errors and are reviewed by the operator when there is a discrepancy; it is for the user to confirm the data before using it. The assistant's answers are for guidance in the app and may contain errors. None of them is legal, tax or accounting advice.

The data sent to these models is processed only to provide the service, under the Privacy Policy.

11. Data

Data entered or imported belongs to whoever enters it. Myfleet processes it to provide the service and allows it to be exported, including after cancellation, for as long as the account has not been closed.

As regards drivers' personal data, the operator is the controller and Myfleet acts as processor, under the Data Processing Agreement accepted by the company. Any other processing of personal data is described in the Privacy Policy.

We may use aggregated and anonymised data, which does not identify operators or individuals, to improve the service.

12. Acceptable use and intellectual property

It is not permitted to use the platform for unlawful purposes, to upload third-party content without authorisation, to attempt to access other companies' data, to interfere with the operation of the service, or to copy, resell or extract the platform by automated means.

The platform, the apps, the contract templates and the Myfleet and Bigorna.digital brands belong to Libelinha Lilaz. The subscription gives the operator and its users a personal, non-exclusive and non-transferable right of use, for as long as it is active. The contract templates may be used by the parties in the contracts they enter into.

13. Availability and limitation of liability

We do our best to keep the service available and correct, but it depends on third parties: the platforms the data comes from, hosting, and payment and email services. There may be interruptions for maintenance, which we try to announce in advance when they are planned. The service is provided as is, with no guarantee that it will work without interruptions or errors.

Myfleet is not liable:

  1. for indirect damage, loss of profit, or loss of business or goodwill;
  2. for errors or failures in data coming from third-party platforms, or entered by users;
  3. for invoicing, tax, accounting, employment or contractual decisions taken on the basis of the platform's amounts, automatic readings or templates;
  4. for unavailability caused by third parties or by force majeure.

In any case, Myfleet's total liability towards the operator, for all events occurring in a 12-month period, is limited to the amount the operator paid for the subscription in those 12 months.

These limitations do not apply to damage caused by wilful misconduct or gross negligence on the part of Myfleet, to damage to life, physical integrity or health, or to other cases in which the law does not allow liability to be limited.

14. Suspension and closure

We may suspend access, in whole or in part, in the event of use that breaches these terms or the law, notifying the operator, unless urgency or the law prevents it. In the event of serious or repeated breach, we may close the account, with 15 days' prior notice for the data to be exported.

The operator may request the closure of the company account in the app. The request can be reversed within 30 days and does not proceed while there are weekly settlements still open. Before closure, we recommend that the operator exports its data.

Documents with tax relevance are kept for the legal period, even after closure (see the Privacy Policy). Closure does not give a right to a refund for the current period.

15. Changes to these terms

When these terms change, the app shows the new version and what has changed, and asks for it to be accepted before continuing. Changes that worsen the operator's conditions are communicated at least 30 days in advance; if it does not agree, the operator may cancel at no cost before they take effect. Changes required by law may take effect sooner.

16. Governing law and disputes

Portuguese law applies. An electronic Complaints Book is available at livroreclamacoes.pt.

The service is intended for businesses and professionals, so the consumer alternative dispute resolution regime does not apply. The parties will first seek to resolve any dispute in good faith, by writing to [email protected]. Failing that, the courts of the district of Lisbon have jurisdiction, with express waiver of any other.

If any clause of these terms is invalid, the remaining clauses remain in force.
